Dubai Corporate Lawyers: Getting the Structure and the Shareholder Agreement Right

Articles

Here’s a conversation we’ve had more than once. Two friends start a business, split it 50/50, shake hands, and get on with it. Three years later one wants out and the other doesn’t, and there’s nothing on paper about what happens next.

Good Dubai corporate lawyers exist to prevent exactly that. The work is rarely glamorous. It’s mostly about making decisions early, while everyone still gets along.

Mainland, free zone or DIFC?

This is the first big choice, and it shapes everything after it.

Mainland companies can trade across the UAE and with government bodies. Free zone companies get convenient licensing and often simpler setup, but with restrictions on trading directly in the local market. DIFC has its own common-law courts and rules, which suits some financial and international businesses.

Ownership rules have also relaxed. Most commercial activities now allow full foreign ownership on the mainland, though some strategic sectors still carry restrictions. We break down the position in foreign ownership laws for commercial companies, and our company formation and structuring team can map the right route for your activity.

The shareholders’ agreement nobody wants to write

The memorandum of association covers the basics. A shareholders’ agreement covers what actually causes fights:

  • Who makes which decisions, and what needs everyone’s approval
  • What happens in a deadlock
  • Whether a partner can sell to an outsider, and whether the others get first refusal
  • How a departing partner is valued and paid out
  • What happens if a shareholder dies, divorces or stops contributing

It feels pessimistic to discuss this at launch. It’s far more awkward to discuss it in the middle of an argument.

Directors carry more risk than they think

Being a manager or director isn’t a title you can wear lightly. Personal exposure for mismanagement, unpaid obligations and breaches of duty is real. Our article on managing director liabilities and obligations is worth reading before you accept or hand out one of those roles.

Tax and compliance, briefly

The UAE now has a federal corporate tax, and VAT has been in place for years. Rates and thresholds change, so confirm the current position with your tax adviser. A corporate lawyer’s part is making sure your structure, contracts and records support whatever position you take. For deeper reading, see the piece on taxation of corporations under Federal Law 47 of 2022.

Buying, selling and exiting

Sooner or later a company is sold, merged or wound down. Due diligence, price adjustments and warranties are all negotiated by someone, and it’s better if that person is yours. Our mergers and acquisitions practice handles transactions from small share sales to larger deals.

What to expect from corporate lawyers in Dubai

When you hire corporate lawyers in Dubai, you should get plain answers, not memos full of qualifications. Ask who’ll draft, who’ll negotiate, and what the fee covers. Our overview of top corporate law cases every business owner should know shows the sort of issues that end up in court when this groundwork is skipped.
